Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Glanz CRM platform, websites, and related services (collectively, the "Service") operated by Glanz CRM ("we", "us", or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of a company (for example, a diamond trading business), you represent that you have authority to bind that company to these Terms.

2. Description of Service

Glanz CRM is a diamond merchant management platform that provides inventory management, customer relationship management, sales and invoice tracking, memo and hold management, purchase orders, pricing tools (including Rapaport-based price calculation), appraisal reports, certificate tracking, and analytics.

We may add, change, or remove features at any time. Where a change materially reduces core functionality of a paid plan, we will provide reasonable notice.

3. Accounts and Eligibility

• •You must provide accurate and complete registration information and keep it up to date.
• •You are responsible for safeguarding your account credentials and for all activity under your account.
• •You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
• •One person or legal entity may not maintain multiple free trial accounts unless we expressly permit it.
• •Notify us immediately at support@glanzcrm.com if you suspect unauthorized use of your account.

4. Acceptable Use

You agree NOT to:

• •Use the Service for any unlawful purpose, including money laundering, sanctions evasion, or trade of conflict diamonds not compliant with the Kimberley Process.
• •Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks.
• •Scrape, harvest, or enumerate data from the Service, including licence keys, user records, or other tenants' business data.
• •Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
• •Interfere with or disrupt the integrity or performance of the Service, or circumvent usage limits of your plan.
• •Resell, sublicense, or provide Service access to third parties as a service bureau without our written consent.

6. Your Data

You retain all right, title, and interest in the business data you store in the Service (inventory, customers, invoices, memos, and similar records). You grant us a limited licence to host, process, and transmit that data solely to operate and support the Service for you.

If your subscription ends, we will make your data available for export for 30 days, after which we may permanently delete it. Handling of personal data within your data is described in our Privacy Policy.

7. Intellectual Property

The Service, including all software, designs, graphics, and content, is owned by Glanz CRM or its licensors and is protected by intellectual property laws. Your rights to use the Service are limited to those expressly granted in these Terms.

Rapaport price data, GIA certificate information, and other third-party data made available through the Service remain the property of their respective owners and may be subject to their own terms of use.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that pricing data (including Rapaport-derived calculations) or certificate information will be accurate or complete. You remain responsible for verifying prices, grades, and certificate details before relying on them in any transaction.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLANZ CRM AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF NO CHARGES WERE MADE, USD 100).

10. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your account if you materially breach these Terms, fail to pay amounts due after notice, or if we are required to do so by law.

On termination, your licence to use the Service ends immediately. Sections 6 (Your Data), 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), and 11 (Governing Law) survive termination.

11. Governing Law

These Terms are governed by the laws of Thailand, without regard to conflict-of-laws principles. The courts located in Bangkok, Thailand will have exclusive jurisdiction over any dispute arising from these Terms or the Service.

12. Changes to These Terms

We may update these Terms from time to time. If a change materially reduces your rights, we will provide notice (for example, by email or in-product banner) at least 14 days before it takes effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
